At a glance
Investment at a Glance.
- Issuer — LIBA Capital, LLC, a Florida limited liability company.
- Security — the subscription agreement describes a Secured Note. A subscription agreement alone is not a complete statement of the offering’s governing terms.
- Terms — this website does not publish investment economics. Any subscription must be based on the applicable definitive offering documents, not historical terms or assumptions.
- Liquidity — the interest is not registered, is illiquid, and no public market exists or is expected to develop.
- Risk — a secured note is not a guaranteed repayment. It still carries default, collateral-value, enforcement and loss risks, including the loss of principal.
- Portfolio — LIBA's existing operating portfolio is separate from the assets financed by or pledged to any specific offering. Which assets secure an offering is stated only in its offering documents.
- Availability — registration prepares you for potential opportunities. This page does not present an offering as open for subscription. LIBA must make the complete governing documents available before any subscription can be considered.
Our Investment Thesis
Specialization, operations and evidence compound.
We believe disciplined, local specialization in Miami-Dade housing — combined with hands-on operations and evidence-led underwriting — creates better-informed decisions than broad, generalist capital.
- What LIBA is — a Miami-Dade real estate investment and operating company that acquires, improves and ultimately develops housing.
- What LIBA buys — residential and multifamily housing, focused on value-add and workforce housing.
- Why workforce housing — a focused housing strategy built around durable local demand.
- What LIBA has already built — an operating 20-unit Miami-Dade portfolio with 100% HCV-supported tenancy, acquired before this raise.
Strategy & intelligence
One market. Deep intelligence. Disciplined execution.
LIBA focuses on residential and multifamily housing across Miami-Dade. Every acquisition is screened and underwritten with LIBA IQ, the Decision Intelligence platform licensed to LIBA Capital, and a person always makes the final call.

Why LIBA
One county. Principal capital. Operating assets.
Hands-on execution. Special-situation sourcing. Licensed Decision Intelligence (LIBA IQ).
We believe specialization compounds: every property, underwriting decision and operating outcome makes the next decision better informed. Each property creates evidence, each underwriting records its assumptions, and each operating asset produces real outcomes that inform what LIBA underwrites next.

Eligibility
Accredited investors only.
Participation is limited to verified accredited investors as defined by SEC Rule 501(a). Before any investment is accepted in a Rule 506(c) offering, LIBA Capital must take reasonable steps to verify accredited-investor status; self-certification alone is not sufficient. Creating an account begins verification — it does not commit you to invest or grant offering access. Generally, accredited investors include:
- Individuals whose income met the SEC threshold in each of the two most recent years, with a reasonable expectation of meeting it in the current year.
- Individuals with net worth above the SEC threshold, excluding their primary residence.
- Holders of qualifying professional certifications recognized by the SEC.
- Entities meeting the SEC asset or ownership tests for accredited investors.
Process
Investor verification.
- 01Create your account. Create an investor account to begin onboarding.
- 02Contact verification. Confirm your contact details so LIBA can reach you securely.
- 03Identity (KYC). Provide your identity information and a government-issued photo ID for review.
- 04Accreditation review. Submit documentation supporting your accredited-investor status. LIBA reviews it — accreditation is not automatic and self-certification alone is not accepted.
- 05Eligibility review. LIBA reviews your identity and accreditation. Any permitted access remains subject to two-step sign-in, applicable permissions and LIBA Capital's approval.
Materials
Reference documents, not a complete offering package.
The document register lists the following reference and administrative materials. A listing does not confirm immediate availability to your account:
- A LIBA Capital investor presentation.
- The LIBA investor reporting overview.
- Tax certification forms (W-9, W-8BEN, W-8BEN-E) and electronic delivery consent.
- The investor privacy, data protection and KYC notice.
- The nondisclosure agreement and the investor document center guide.
A subscription agreement and completion and signing instructions are also listed. These do not, by themselves, establish a complete offering package or readiness to subscribe.
Confirm document availability with LIBA. Any permitted access requires the applicable verification, two-step sign-in, permissions and confidentiality acknowledgment.
