Terms of Use

1. Acceptance

These Terms of Use govern your use of www.libacapital.com and LIBA Investor Access (together, the "Site"), operated by LIBA Capital, LLC, a Florida limited liability company ("LIBA Capital," "we," "us"). By using the Site you agree to these Terms. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old. Investor Access is available only to persons LIBA Capital approves, at its sole discretion.

3. Informational purpose only

Site content is general information. It is not investment, legal, tax or accounting advice, and not a recommendation of any security.

4. No offer; offering documents control

Nothing on the Site is an offer to sell or a solicitation of an offer to buy any security. Any offer is made only through definitive offering documents, which control over anything on the Site.

5. Rule 506(c)

Investment opportunities are offered under Rule 506(c) of Regulation D only to accredited investors whose status LIBA Capital has verified. Creating an account, completing verification or viewing materials does not entitle you to invest. LIBA Capital may accept or reject any investor at its sole discretion.

6. Accounts

You must provide accurate, current and complete information, including during identity (KYC) and accreditation verification, and keep it updated. Providing false or misleading information is grounds for immediate termination.

7. Credentials

You are responsible for keeping your login credentials and multi-factor authentication secure and for all activity under your account. Notify investors@libacapital.com immediately of any unauthorized use. Accounts are personal and may not be shared.

8. Confidential materials

All materials made available through Investor Access — including offering documents, memoranda, financial information, portfolio data, reports and presentations — are confidential and proprietary to LIBA Capital. You may use them only to evaluate or monitor your own potential or existing investment with LIBA Capital.

9. No sharing

You may not copy, forward, distribute, publish, screenshot, or disclose Investor Access materials to anyone other than your own legal, tax or financial advisers who are bound by confidentiality obligations. These obligations survive termination of your access.

10. Prohibited conduct

You may not: access areas you are not authorized to access; attempt to bypass security or verification; scrape, harvest or bulk-download content; reverse engineer any part of the Site; use the Site unlawfully or to impersonate anyone; or interfere with the Site's operation.

11. Intellectual property

LIBA Capital develops and owns its investment methodology, research and underwriting processes. The patent-pending real estate intelligence technology and LIBA SI Decision Intelligence technology are owned by LIBA Inc., a separate software company whose technology brand is LIBA SI, and are used by LIBA Capital under license. All Site content, research, data, design and software are owned by LIBA Capital or its licensors and protected by law. No license is granted except the limited right to view the Site for its intended purpose.

12. Trademarks

"LIBA Capital" and related names and logos are trademarks of LIBA Capital, LLC. "LIBA SI" and related names and logos are used by LIBA Capital under license from LIBA Inc. Other marks belong to their respective owners.

13. Third-party content and links

The Site may reference or link to third-party research, data or services. We do not control or endorse them and are not responsible for their accuracy or availability.

14. Forward-looking statements

The Site may contain forecasts, targets and other forward-looking statements. They are estimates, are not guarantees, and actual results may differ materially.

15. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LIBA CAPITAL AND ITS MEMBERS, MANAGERS, PRINCIPALS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE. This section does not limit any rights you may have under an investment's definitive offering documents or under laws that cannot be waived.

17. Indemnification

You agree to indemnify and hold harmless LIBA Capital and its members, managers, principals, employees and agents from claims arising from your breach of these Terms or misuse of the Site.

18. Suspension and termination

We may suspend or terminate your access at any time, with or without notice, including for suspected breach, security concerns or failed verification. Sections 8, 9, 11 and 15–21 survive termination.

19. Changes

We may update the Site and these Terms. The "Last updated" date shows the current version. Material changes to Investor Access terms may require your renewed acceptance.

20. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

21. General

If any provision is unenforceable, the rest remains in effect. These Terms, the Privacy Notice and any applicable offering documents are the entire agreement regarding the Site; offering documents control for any investment.
